1. The service
KoRouter is an OpenAI-compatible API gateway operated by NeoAIDA LLC, a Wyoming (USA) limited liability company — "we", "us", and "our" in these terms mean NeoAIDA LLC. The service forwards your requests to third-party large language model providers, meters usage, and bills it against your prepaid balance. We do not own or operate the underlying models — we route to them.
2. Eligibility and your account
You must be able to form a binding contract to use the service, and if you use it on behalf of a company or team, you confirm you have the authority to accept these terms for them. You need a valid email to register. You are responsible for keeping your API keys and account credentials secret, and for all activity that occurs under them. Tell us promptly if you believe a key has been exposed — you can disable or rotate keys at any time in the console.
3. Credits and billing
Signing up is free and there is no monthly fee. Calls are paid from a prepaid balance of credits on a pay-as-you-go basis. Credits never expire. There is no free or promotional starter balance. Per-model prices are shown before you buy, and each request is debited from your balance in real time; when the balance reaches zero, inference calls are declined until you add more. Per-model prices may change when upstream provider rates or available routes change; the price in effect at the time of a request applies. Payments are processed by Stripe on our behalf — your purchase is from NeoAIDA LLC.
4. Acceptable use
You agree not to use the service to break the law, to generate or distribute harmful or infringing content, or to abuse the platform — including attempts to circumvent billing, probe or attack the infrastructure, resell access in violation of these terms, or drive abnormal load that degrades service for others. You must also comply with the usage policies of the upstream providers your requests reach. We may suspend or terminate accounts that violate this section.
5. Your content
The prompts, files, and other content you send through the service stay yours. You grant us the limited rights needed to operate the service: to transmit your content to the upstream provider serving the model you call, and to process it for routing, metering, abuse prevention, and support. You are responsible for having the rights to the content you send and for making sure it doesn't violate the law or these terms.
6. AI outputs
As between you and us, model outputs generated from your requests are yours to use. Language models make mistakes: outputs may be inaccurate, incomplete, or biased, and they are not professional advice of any kind. Review outputs before relying on them — you are responsible for how you use them. Because models can produce similar outputs for similar prompts, we can't guarantee outputs are unique to you.
7. Third-party providers
Your requests are forwarded to the upstream provider that serves the model you call (such as Anthropic, OpenAI, or Google) to be fulfilled. Each model is governed by its provider's own terms and data-usage policies — your use of a model is subject to them, and how your data is handled once it reaches a provider is determined by that provider, not by us. We encourage you to review the relevant provider's policy directly:

8. Availability
The service is provided on a best-effort basis. We do not guarantee any level of uptime or latency, and we may modify, suspend, or discontinue features at any time. We publish real operational status where we can so you can make your own routing decisions.
9. Intellectual property
The service itself — the platform, console, documentation, and KoRouter name and marks — belongs to us or our licensors. These terms give you a limited, non-exclusive right to use it while your account is in good standing, and nothing more. If you send us feedback or suggestions, we may use them freely without obligation to you.
10. Disclaimers and limitation of liability
The service is provided "as is" and "as available," without warranties of any kind, whether express or implied. To the maximum extent permitted by law, KoRouter is not liable for any indirect, incidental, or consequential damages, and our total liability for any claim is limited to the amount you paid us in the three months preceding the event giving rise to the claim.
11. Indemnification
If a third party brings a claim against us because of content you sent through the service, outputs you used, or your breach of these terms or applicable law, you agree to indemnify us against the resulting losses, including reasonable legal fees.
12. Termination
You may stop using the service and close your account at any time. We may suspend or terminate your access if you breach these terms. On termination, any unused credit balance is handled under our Refund Policy.
13. Changes to these terms
We may update these terms as the service evolves. When we make material changes, we will update the date above and, where appropriate, notify you. Continued use after a change means you accept the updated terms.
14. Governing law
These terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. Disputes arising from these terms or the service are subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, and each party consents to venue there.
15. General
These terms, together with the policies they link to, are the entire agreement between you and us about the service. If a court finds part of them unenforceable, the rest still applies. Not enforcing a provision isn't a waiver of it. You may not assign these terms without our consent; we may assign them as part of a merger, acquisition, or sale of assets.
